These terms cover the IntelMedica marketing website at intelmedica.ai. They do not cover our products or services, which have their own contracts.
These Terms of Service (the "Terms") form a binding legal agreement between you ("User," "you," or "your") and Intel Medica LLC, a Wyoming-registered limited liability company ("IntelMedica," "we," "us," or "our"). By accessing, browsing, or otherwise using the website located at intelmedica.ai (the "Site"), you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms in their entirety, you must not access or use the Site.
You represent and warrant that (a) you are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under the laws of your jurisdiction, and (b) if you are accessing the Site on behalf of an employer, organization, or other legal entity, you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you individually and the entity you represent.
We may revise these Terms from time to time. Continued use of the Site after the effective date of any revision constitutes your acceptance of the revised Terms. The mechanism by which we provide notice of material changes is described in §16 (Changes to These Terms).

If a conflict exists between these Terms and any product-specific contract, subscription agreement, business associate agreement, data processing addendum, or other written agreement executed between you and IntelMedica, the more specific agreement controls with respect to its subject matter. These Terms control only with respect to your use of the Site itself.
The Site is a marketing and informational web property. Its purpose is to (a) describe IntelMedica, our open-source medical AI research tools, our team, and our research contributions; (b) link visitors to our open-source datasets, models, and code on third-party platforms; and (c) allow qualified parties to request a demo or contact us through the demo-request form.
The Site is NOT, and is not intended to be:
Submitting a demo request through the Site is a request to be contacted; it is not a contract, an order, an offer, or a binding commitment of any kind by either party. Any business relationship that may follow is governed exclusively by a separate written agreement signed by both parties.
We may at any time, with or without notice, modify, suspend, or discontinue any feature, page, or function of the Site, in whole or in part. We are under no obligation to maintain backward compatibility, preserve archived content, or continue to offer any particular feature.
By accessing or using the Site, you represent and warrant that:
Under no circumstances may you submit, upload, or transmit any patient information, PHI, clinical data, or any data covered by 45 C.F.R. Parts 160 and 164 (HIPAA), the EU General Data Protection Regulation special-categories rules, or any analogous sensitive-data regime, through the Site. Physicians, nurses, and other clinicians must not submit information about a patient on the patient's behalf or for the patient's benefit through any feature of the Site.
Copyright. All Content on the Site, including without limitation text, graphics, illustrations, photographs, logos, page layouts, design elements, source code, animations, and the selection, coordination, and arrangement thereof, is © Intel Medica LLC and its licensors, all rights reserved. The Site and its Content are protected under the United States Copyright Act, the Berne Convention for the Protection of Literary and Artistic Works, the Universal Copyright Convention, and other applicable copyright laws and international treaties.
Trademarks. The marks "IntelMedica," the IntelMedica wordmark and stylized logotype, the slogan "Innovate | Automate | Advance," and the marks "Doc Assist AI," "RN Scribe," "Open Medical Skills," "OpenMedica," and "Quality & Metric Dashboard," whether registered or unregistered, are trademarks or service marks of IntelMedica LLC. Other names, marks, and logos appearing on the Site are the property of their respective owners. Nothing on the Site grants you any license or right to use any IntelMedica trademark or service mark without our prior written permission. Use of IntelMedica marks must comply with our brand guidelines, available on request from hello@intelmedica.ai.
Open-source content. This Section does not govern, and the Site copyright notice does not apply to, IntelMedica's open-source datasets and code distributed through third-party platforms. Hugging Face datasets published by IntelMedica are licensed under Creative Commons Attribution-NonCommercial 4.0 International (CC-BY-NC-4.0) with manual access gating; your rights and obligations in those datasets are governed by that license. GitHub repositories published by IntelMedica each carry a per- repository license (such as MIT, Apache 2.0, or AGPL); your rights and obligations in that code are governed by the applicable repository license file.
Patent rights. No patent license is granted by these Terms, by implication, estoppel, or otherwise. To the extent any of our open-source distributions include an express patent grant, that grant is contained in, and limited by, the relevant open-source license; nothing in these Terms expands or supplements those grants.
Feedback. If you provide IntelMedica with any unsolicited feedback, suggestions, ideas, or recommendations regarding the Site or any IntelMedica product (collectively, "Feedback"), you grant IntelMedica a perpetual, irrevocable, worldwide, royalty-free, sublicensable, transferable license to use, reproduce, modify, distribute, prepare derivative works of, and otherwise exploit the Feedback for any purpose, without attribution or compensation to you.
Subject to your continuing compliance with these Terms, IntelMedica grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and view the Site and its Content for the following purposes only:

License to IntelMedica. When you provide a Submission to or through the Site, you grant IntelMedica a worldwide, royalty-free, non-exclusive, perpetual (or for the maximum term permitted by applicable law), irrevocable (other than as necessary to comply with applicable data protection law), sublicensable, and transferable license to host, store, copy, reproduce, transmit, display, parse, analyze, and otherwise use the Submission for the purposes described in our Privacy Policy, including responding to your inquiry, operating and improving the Site, and developing our research tools. The license granted in this Section is granted to IntelMedica and its successors, assigns, and designated subprocessors.
Your warranties. You represent and warrant that, with respect to each Submission you provide: (a) you own the Submission or have all necessary rights, licenses, consents, and permissions to grant the license above; (b) the Submission, and our use of it as permitted by these Terms and the Privacy Policy, will not infringe, misappropriate, or violate any intellectual-property right, privacy right, publicity right, contractual right, or other right of any third party; (c) the Submission does not contain any malicious code, virus, worm, trojan horse, time bomb, or other harmful component; (d) the Submission does not contain PHI or any other category of sensitive personal data; and (e) the Submission is accurate and not knowingly false or misleading.
No ownership transfer. You retain ownership of your Submissions. The license you grant in this Section does not transfer ownership.
Deletion. We may delete, refuse to publish, or remove any Submission at any time, with or without notice, in our sole discretion. You may request deletion of personal information you have submitted by contacting hello@intelmedica.ai; we will honor that request within a reasonable time, except where retention is required by applicable law, regulation, or legal process.
You shall not, and shall not attempt to, do any of the following:
IntelMedica's tools, models, datasets, and content described or distributed through this Site are RESEARCH TOOLS.
They are NOT medical devices, NOT cleared or approved by the U.S. Food and Drug Administration ("FDA"), NOT validated for clinical use, and NOT intended for clinical decision-making, diagnosis, prognosis, treatment selection, prescription, triage, or any other regulated practice of medicine. They are not Software as a Medical Device ("SaMD") within the meaning of FDA's guidance, and IntelMedica makes no representations or warranties about their clinical performance.
Any clinical use of IntelMedica research tools, datasets, or Content is solely at the user's own risk and is the user's sole responsibility. The user is exclusively responsible for ensuring compliance with all applicable regulations, including without limitation FDA requirements, state medical-practice laws and the analogous laws of the user's jurisdiction, the Health Insurance Portability and Accountability Act ("HIPAA"), the EU General Data Protection Regulation ("GDPR") where applicable, applicable accreditation standards, and the applicable standard of care.
No doctor-patient relationship. Nothing on the Site constitutes the practice of medicine, the giving of clinical advice, or the formation of a doctor-patient, nurse-patient, or other clinical relationship between you and IntelMedica or any IntelMedica employee, contractor, or agent. The Site does not give clinical advice; it describes research tools.
No recommendation to act. Nothing on the Site recommends or directs that any individual undertake any clinical or non-clinical course of action. The Site is provided for informational and research purposes only.
Content on the Site is provided for informational purposes only and does not constitute legal, medical, nursing, financial, accounting, tax, regulatory, or other professional advice. The Site is not a substitute for the advice of a qualified professional licensed in your jurisdiction.
You should not act, or refrain from acting, on the basis of anything you read on the Site without first seeking advice from a qualified, independently licensed professional. IntelMedica disclaims all responsibility for actions or inactions taken in reliance on Site Content.
The Site contains links to third-party properties, including but not limited to Hugging Face, GitHub, blog.intelmedica.ai, peer-reviewed publications, regulatory databases, and other external resources. These links are provided for convenience and informational purposes only.
IntelMedica does not control, and is not responsible for, the content, products, services, terms of use, privacy practices, or accuracy of any third-party site or resource. The inclusion of a link does not constitute or imply endorsement, sponsorship, recommendation, or affiliation by IntelMedica with respect to the linked site or its operators. You access any linked third-party site at your own risk and subject to that site's own terms.
Some third-party platforms (such as Hugging Face and GitHub) may require you to create an account or accept their terms before accessing IntelMedica content hosted there. Your relationship with those platforms is governed by their terms, not by these Terms.
THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. INTELMEDICA AND ITS LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND COMPLETENESS, TO THE MAXIMUM EXTENT PERMITTED BY LAW.
Without limiting the foregoing, IntelMedica does not warrant that: (a) the Site will be uninterrupted, timely, secure, or error-free; (b) the results obtained from use of the Site will be accurate, reliable, current, or complete; (c) defects in the Site will be corrected; (d) the Site or the servers that make it available are free of viruses or other harmful components; or (e) any Content is suitable for any particular purpose.
You acknowledge that you bear the entire risk associated with your use of the Site. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions are limited to the maximum extent permitted by law, and nothing in this Section is intended to deprive you of any non-waivable statutory right.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INTELMEDICA OR ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, OR SUBPROCESSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR:
ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR YOUR USE OF OR INABILITY TO USE THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT INTELMEDICA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Aggregate cap. WITHOUT LIMITING THE FOREGOING, INTELMEDICA'S AGGREGATE CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF (A) U.S. $100 OR (B) THE TOTAL FEES YOU PAID INTELMEDICA FOR ACCESS TO THE SITE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. This cap reflects the free, informational nature of the Site and is a material inducement for IntelMedica to make the Site available.
The foregoing limitations apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, gross negligence, willful misconduct, fraud, fraudulent misrepresentation, or personal injury. To the extent any such limitation is not permitted by applicable law in your jurisdiction, that limitation does not apply to you, and IntelMedica's liability is limited to the minimum extent allowed by law. Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot be excluded or limited by applicable law.
You agree to indemnify, defend, and hold harmless IntelMedica and its officers, directors, employees, contractors, agents, affiliates, and licensors (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, losses, damages, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:
IntelMedica reserves the right, at its own expense, to assume the exclusive defense and control of any matter for which you are required to indemnify the Indemnified Parties, in which case you will fully cooperate with the defense of that matter. You may not settle any matter without IntelMedica's prior written consent.
Governing law. These Terms, and any non-contractual obligations arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflict-of-laws rules or principles that would result in the application of the laws of any other jurisdiction.
Exclusive venue. You and IntelMedica agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Site shall be brought exclusively in the state courts of the State of Wyoming or the United States District Court for the District of Wyoming, and you irrevocably consent to the personal jurisdiction of, and venue in, those courts and waive any objection based on inconvenient forum.
Class-action waiver. You and IntelMedica agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Unless both you and IntelMedica agree otherwise in writing, no court or arbitrator may consolidate more than one person's claims, and no court or arbitrator may otherwise preside over any form of representative or class proceeding.
Limitation period. To the maximum extent permitted by applicable law, any claim or cause of action arising out of or related to these Terms or the Site must be commenced within one (1) year after the cause of action accrues or be permanently barred.
CISG opt-out. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
IntelMedica reserves the right to modify these Terms at any time, in our sole discretion. The "Effective Date" and "Last Updated" values at the top of this page reflect the date of the most recent material revision.
Material changes. For any material change to these Terms, we will provide at least thirty (30) days' advance notice by (a) posting a prominent banner on the Site, and (b) where we have a deliverable email address from a prior demo-request submission, by sending an email to that address. Material changes do not take effect until the end of the notice period.
Non-material changes. Non- material changes (such as typographical corrections, clarifications, or updated contact details) take effect immediately upon posting, with the "Last Updated" date revised accordingly.
Your continued access to or use of the Site after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree to any change, your sole and exclusive remedy is to discontinue using the Site.
IntelMedica may, at any time and in its sole discretion, with or without cause and with or without notice, suspend or terminate your access to all or part of the Site. Reasons for suspension or termination may include without limitation: (a) an actual or suspected violation of these Terms; (b) suspected fraud, abuse, or unlawful conduct; (c) compliance with legal process or regulatory requirement; (d) technical, security, or operational reasons; and (e) discontinuation of the Site or any feature thereof.
Because access to the Site is provided free of charge, you are not entitled to any refund or compensation in connection with any suspension or termination.
Survival. Sections 1, 5, 6, 7, 8, 9, 12, 13, 14, 15, 18, 19, 20, and 21 survive any termination of these Terms or your access to the Site, plus any other provision that by its nature should reasonably survive.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to render it valid and enforceable, or, if no such modification is possible, severed from these Terms; the remaining provisions will continue in full force and effect.
Entire agreement. These Terms, together with our Privacy Policy and any product-specific contract or agreement between you and IntelMedica, constitute the entire agreement between you and IntelMedica regarding your use of the Site, and supersede and replace all prior or contemporaneous understandings, agreements, representations, and warranties, whether oral or written, on that subject.
No waiver. No failure or delay by IntelMedica in exercising any right, power, or privilege under these Terms shall operate as a waiver of that right, power, or privilege, nor shall any single or partial exercise preclude any other or further exercise of any other right, power, or privilege.
Assignment. You may not assign, delegate, or otherwise transfer these Terms or any of your rights or obligations under them without IntelMedica's prior written consent; any attempted assignment in violation of this provision is void. IntelMedica may freely assign these Terms without your consent, including in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.
No third-party beneficiaries. These Terms are for the sole benefit of you and IntelMedica and confer no rights on any third party.
Notices to IntelMedica. All legal notices, requests, demands, and other communications to IntelMedica must be sent by email to hello@intelmedica.ai, with a clear subject line identifying the nature of the notice (for example, "Legal Notice," "DMCA Notice," or "Privacy Request"). IntelMedica does not maintain a public mailing address; email is the exclusive means of contact.
Notices to you. We may give notice to you by (a) posting on the Site (including via banner or modal), or (b) sending an email to the most recent email address you provided to us through the Site (for example, in a demo-request submission).
Effective time. A notice is deemed given and effective on the earlier of (i) actual receipt, or (ii) twenty-four (24) hours after posting on the Site or sending by email, provided no bounce-back or transmission failure is received.
IntelMedica respects the intellectual-property rights of others and complies with the United States Digital Millennium Copyright Act, 17 U.S.C. §512 (the "DMCA"). If you believe that material on the Site infringes a copyright you own or control, you may submit a DMCA notice to our designated agent below.

Counter-notice. If you believe material you posted was removed in error or as a result of misidentification, you may send a counter-notice containing the elements required by 17 U.S.C. §512(g) to dmca@intelmedica.ai with the subject line "DMCA Counter-Notice."
Repeat-infringer policy. It is IntelMedica's policy, in appropriate circumstances and at our discretion, to disable access for users who are determined to be repeat infringers.
Neither party is liable for any delay or failure to perform its obligations under these Terms (other than payment of undisputed amounts, where applicable) to the extent caused by an event beyond that party's reasonable control (each, a "Force Majeure Event"). The party affected by a Force Majeure Event will use commercially reasonable efforts to mitigate its effects and to resume performance as soon as practicable.
